Terms of Service

Orientation Access means Foryn’s limited free access tier.

Activation Program means Foryn’s required paid activation training that must be completed before full product access is unlocked.

Workspace means a container in the Service for users, settings, billing, and content.

Team Workspace means a Workspace on a Team or Enterprise plan.

Inputs means prompts, files, instructions, comments, data, and other materials you submit to the Service.

Outputs means suggestions, labels, drafts, summaries, and other results generated or returned by the Service.

Customer Content means Inputs and Outputs.

You may use the Service only if:

• You are at least 18 years old.
• You can form a binding contract.
• Your use of the Service does not violate applicable law.

You must provide accurate account information and keep it up to date. You are responsible for activity under your account and for keeping your credentials secure.

If you believe your account has been accessed without authorization, contact us at admin@foryn.ai.

We may refuse registration, suspend access, or reclaim usernames that are misleading, abusive, infringing, or otherwise inappropriate.

Foryn is software for AI-assisted work focused on standards, review behavior, workflow enforcement, and evidence at the human decision layer.

Orientation Access is limited. Full product access requires purchase of a paid plan and completion of the Activation Program.

We may add, remove, change, or discontinue features from time to time. We do not guarantee that any feature, workflow, or integration will remain available indefinitely.

The Activation Program is a required paid setup step before full product access is unlocked.

By completing the Activation Program and activating paid access, you acknowledge that Foryn supports AI-assisted work but does not replace your judgment, and that you remain responsible for reviewing and approving outputs before use.

Additional activation acknowledgment language may be presented in product when you activate paid access.

Some parts of the Service require a paid subscription.

When you purchase a paid plan, you agree to pay the fees shown at checkout, in the customer portal, or in any applicable order form. Unless otherwise stated, subscriptions renew automatically for successive monthly or annual periods until canceled.

You authorize Foryn and its payment processor to charge your payment method for the Activation Program, recurring subscription fees, and applicable taxes.

You may cancel renewal through your account settings, the Stripe customer portal, or another online method we make available. Cancellation stops future renewal charges. Your access continues through the end of your current paid term unless these Terms say otherwise.

If payment fails, we may retry charges up to three times over seven days before suspending paid access.

Fees are non-refundable except as expressly stated in these Terms, in the Subscription Terms, or as required by law.

You are responsible for applicable taxes except for taxes based on our net income.

Some plans allow a Workspace to be used by multiple people. Team billing is handled at the Workspace level.

The Team plan includes five users unless we clearly state otherwise on the pricing page, at checkout, or in a written order.

If you create, administer, or pay for a Workspace on behalf of a company or other organization, you represent that you are authorized to:

• Bind that organization to these Terms.
• Purchase and manage the applicable plan.
• Authorize charges and taxes.
• Add and remove users.
• Assign or change admin roles.
• Act as billing owner or designate a billing owner.

A Workspace created on behalf of a company is owned by that company. A Workspace created for individual use is owned by the individual account holder unless transferred.

With notice and reasonable verification, we may associate or transfer a company-domain account or Team Workspace to the applicable organization where ownership is reasonably clear. During a dispute, we may place the transfer on hold while preserving separation between personal content and Team Workspace content.

We may also move a Team customer to enterprise contracting later where appropriate. If that happens, the enterprise documents control over these Terms to the extent of any conflict.

Content intentionally created, saved, or shared in a Team Workspace is Team Workspace content.

Personal drafts and personal workspace content remain personal unless and until the user intentionally moves or saves that content into a Team Workspace.

As between Foryn and the customer:

• Personal workspace content belongs to the applicable individual customer, subject to these Terms.
• Team Workspace content belongs to the applicable organization or Workspace customer, subject to these Terms.

Workspace admins may access Team Workspace content, export Team Workspace data, manage users and roles, and review Workspace-level settings and records made available by the Service.

At launch, admin recovery and billing-owner recovery may be handled through manual support verification using a company-domain email and reasonable proof of authority.

As between you and Foryn, you retain your rights in your Customer Content, subject to applicable law and third-party rights.

You grant Foryn a worldwide, non-exclusive license to host, store, copy, transmit, process, display, and otherwise use Customer Content only as necessary to provide, maintain, secure, improve, and support the Service, enforce our agreements and policies, comply with law, and exercise our rights under these Terms.

You represent and warrant that you have all rights, permissions, and consents required for data you submit.

The Service, including its software, interfaces, branding, documentation, training materials, and related intellectual property, is owned by Foryn or its licensors.

These Terms do not transfer any ownership rights to you. Except for the limited rights expressly granted here, Foryn reserves all rights.

If you provide suggestions, ideas, comments, or other feedback about the Service, you grant Foryn a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback for any lawful purpose without compensation to you.

You may not use the Service to:

• Violate law or regulation.
• Infringe intellectual property, privacy, publicity, or other rights.
• Upload malware or malicious code.
• Interfere with the Service or bypass security or usage limits.
• Send spam or deceptive communications.
• Misrepresent Outputs as reviewed, approved, or certified by Foryn.
• Claim that Foryn guarantees legal, regulatory, audit, or compliance outcomes.
• Use the Service for high-risk decisions without appropriate independent review and controls.
• Submit highly sensitive or regulated data unless Foryn expressly permits that use in writing.

At launch, prohibited sensitive or regulated data includes, unless expressly approved in writing:

• Protected health information subject to HIPAA.
• Full financial account or payment card data.
• Social Security numbers or government ID numbers.
• Export-controlled data.
• Personal data of children.
• Special-category or similarly sensitive personal data where applicable law imposes heightened duties.

We may investigate misuse and suspend or terminate access where appropriate.

The Service supports AI-assisted work. AI-assisted systems can produce inaccurate, incomplete, inconsistent, biased, or misleading results.

You understand and agree that:

• Outputs are provided for assistance only.
• Outputs may require human review, revision, and approval before use.
• Foryn does not provide legal, regulatory, compliance, accounting, employment, medical, or other professional advice through the Service.
• Foryn is not a model governance platform.
• Foryn does not promise legal, regulatory, compliance, certification, or audit outcomes.
• You remain solely responsible for reviewing, approving, and deciding whether to use any Inputs, Outputs, exports, or downstream decisions made using the Service.

The Service may rely on third-party providers such as payment processors, hosting providers, database providers, communications vendors, and similar service providers.

At launch, key service providers and subprocessors include:

• Stripe for billing and payments.
• Vercel for hosting and delivery.
• Neon for database infrastructure.
• Resend for transactional email.

We may update our service providers and subprocessors from time to time as the Service changes.

Foryn is not responsible for third-party services except as required by law or as expressly stated in a written agreement with you.

We may offer alpha, beta, preview, early access, or experimental features. Those features may be incomplete, unavailable, or changed at any time.

Beta and pre-release features are provided as is and may not be covered by commitments that apply to generally available features.

We may suspend or terminate your access to the Service, in whole or in part, if:

• You breach these Terms.
• You fail to pay amounts due.
• Your use creates security, legal, fraud, or operational risk.
• We are required to do so by law.
• Your use could harm us, the Service, or other users.

You may stop using the Service at any time and may cancel renewal as described above.

Upon cancellation or termination:

• Your right to use the Service ends when your paid term ends or when we terminate access earlier under these Terms.
• We may disable access to the account or Workspace.
• We may retain or delete data in accordance with our Privacy Policy and retention practices.
• Sections that by their nature should survive will survive.

After cancellation or nonpayment, we may provide up to 30 days of limited export access or retrieval support, unless we reasonably determine that continued access would create legal, security, abuse, or fraud risk.

To the maximum extent permitted by law, the Service, including Outputs, beta features, training materials, and related content, is provided “as is” and “as available.”

Foryn disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

Foryn does not warrant that the Service will be uninterrupted, secure, error-free, or suitable for your needs, or that Outputs will be accurate, complete, reliable, lawful, or compliant for your use case.

To the maximum extent permitted by law, Foryn will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity.

Foryn’s total liability arising out of or relating to the Service or these Terms will not exceed the greater of:

• The amounts you paid to Foryn for the Service in the 12 months before the event giving rise to the claim.
• $100 if you have not paid for the Service.

Nothing in these Terms limits liability that cannot be limited under applicable law.

You will defend, indemnify, and hold harmless Foryn, its affiliates, and their officers, directors, employees, and agents from and against third-party claims, damages, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your Inputs or other content you submit.
• Your misuse of the Service.
• Your violation of these Terms or applicable law.
• Your violation of third-party rights.
• Your deployment or use of Outputs without the review and approval required by your use case.

This indemnity does not require you to indemnify Foryn for Foryn’s own breach, gross negligence, willful misconduct, or violation of law.

These Terms are governed by the laws of the State of Washington, without regard to conflict of laws rules.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Spokane, Washington, and each party consents to personal jurisdiction there.

Either party may bring an individual claim in small claims court if the claim qualifies.

These Terms do not require arbitration.

We may update these Terms from time to time. If we make a material change, we will post the updated version, update the last updated date, and may provide additional notice by email, in-product notice, or re-acceptance flow where appropriate.

Your continued use of the Service after the effective date of updated Terms means you accept the updated Terms, except where applicable law requires a different form of consent.

These Terms are the entire agreement between you and Foryn regarding the Service unless a separate written agreement applies.

If any provision is unenforceable, the remaining provisions will remain in effect.

You may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Our failure to enforce a provision is not a waiver.
